Terms of Service
Last updated: 16 October 2026
These Terms govern your use of onalto.com and any services you buy from Onalto Limited ("Onalto", "we", "us"), a company registered in Nigeria with the Corporate Affairs Commission under RC 9932200. By engaging us or paying an invoice, you agree to these Terms.
1. Our services
We provide technology services to businesses and organisations, including:
- Custom software development: design and build of web and mobile applications.
- SaaS product development: building and operating subscription software platforms.
- Cloud and infrastructure: cloud migration, architecture, DevOps and hosting management.
- Enterprise systems: integrations, internal tools and data systems.
- AI solutions: machine learning and AI features built into products and workflows.
- IT consulting: technology strategy and digital transformation advice.
- Maintenance and support: ongoing updates, monitoring and security for software we deliver.
The exact scope, deliverables, timeline and price of each engagement are set out in a written proposal, quote or statement of work ("Proposal") agreed with you before work starts. If a Proposal conflicts with these Terms, the Proposal applies.
2. Quotes and pricing
All prices are quoted in Nigerian Naira (NGN) unless the Proposal states another currency, and exclude VAT and other applicable taxes unless stated. Quotes are valid for 30 days. Work that falls outside the agreed scope is quoted separately and only starts after you approve it in writing.
3. Payment
- Project work is normally billed as a deposit before work begins, with the balance invoiced at agreed milestones or on delivery.
- Support, hosting and retainer plans are billed monthly or annually in advance.
- Invoices are payable within 7 days unless the Proposal says otherwise. Payments can be made online by card, bank transfer or USSD through our payment provider, Paystack, or by direct bank transfer.
- We may pause work on an account with overdue invoices until payment is received.
Card payments are processed securely by Paystack. We never see or store your full card details.
4. Cancellations and refunds
- You may cancel a project in writing at any time. You pay for work completed up to the cancellation date. We refund any part of your payment that covers work not yet started.
- Deposits secure our team's time and are non-refundable once work has begun, except where we fail to deliver as agreed.
- Recurring plans can be cancelled before the next billing date. The current period is not refunded but continues to the end of the paid term.
- If a payment is charged in error or charged twice, contact us and we will refund the full amount.
- Approved refunds are made to the original payment method within 7–14 working days.
5. Your responsibilities
You agree to provide accurate information, the access and content we reasonably need, and timely feedback. Delays in providing these may change the timeline or cost. You are responsible for making sure that material you give us does not infringe anyone else's rights.
6. Intellectual property
Once you have paid in full, ownership of the custom code and designs we create specifically for you passes to you. We keep ownership of our pre-existing tools, libraries and know-how, and grant you a licence to use them as part of the delivered work. Third-party and open-source components remain under their own licences. Unless you ask us not to, we may mention you as a client and describe the work in general terms.
7. Confidentiality
Each party will keep the other's confidential information private and use it only for the engagement. This does not apply to information that is public or must be disclosed by law.
8. Warranty and liability
We will carry out services with reasonable skill and care, and will fix defects you report in delivered work within 30 days of delivery at no cost. Apart from that, services are provided as described in the Proposal. Neither party is liable for indirect or consequential losses, including lost profits or data. Our total liability for any engagement is limited to the fees you paid for that engagement. Nothing in these Terms limits liability that cannot be limited under Nigerian law.
9. Use of this website
You may use onalto.com for lawful purposes only. Do not attempt to disrupt the site or gain unauthorised access to it. Content on this site is owned by Onalto Limited and may not be copied for commercial use without permission.
10. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. We will try to resolve any dispute through good-faith discussion first. If that fails, the dispute will be decided by the courts of Nigeria.
11. Changes
We may update these Terms from time to time. The date at the top shows when they last changed. Changes do not affect engagements already agreed.
